Abu Dhabi -- MDC Group has signed an acquisition agreement with Spain’s Lantania Group to establish a new international platform in the water sector, marking a strategic expansion beyond its traditional engineering and construction activities.

Under the agreement, announced on Monday, NMDC Group will acquire a 51% stake in Lantania Aguas, Lantania Group’s water-focused subsidiary specialising in desalination, wastewater treatment and water reuse projects. Lantania will retain the remaining 49%, with the business set to operate as Lantania NMDC Water following completion, subject to regulatory approvals.

The new company will be headquartered in Seville, with a regional office in Abu Dhabi, and will continue to be managed by the existing executive team led by Pedro Almagro. The transaction represents NMDC Group’s first entry into the European market and supports its strategy of exporting UAE-developed capabilities into critical global infrastructure sectors.

Lantania NMDC Water will combine NMDC Group’s commercial scale and project delivery strength with Lantania’s engineering expertise in complex water and industrial infrastructure. The joint venture begins operations with an active project backlog of approximately €450 million across multiple international markets.

NMDC Group said the acquisition aligns with its broader diversification objectives and reflects growing global demand for integrated water solutions linked to industrial development, energy transition and long-term sustainability.
